Position Overview

We are looking to engage an experienced Capital Markets Professional with 10-15 years of hands-on experience in executing IPO transactions in India, spanning either SME IPOs or Mainboard IPOs or both. The role is designed for professionals who have directly led or managed IPO execution at merchant banking firms, capital markets advisory firms, or boutique investment banks. Candidates must bring practical, end-to-end experience across the IPO lifecycle - from regulatory coordination and documentation through investor engagement and transaction closure. This position is ideal for ex-Merchant Bankers, IPO Advisors, ECM professionals, or capital markets specialists with a strong track record in Indian primary market transactions.

Key Responsibilities

IPO Transaction Execution
  • Lead and manage end-to-end execution of SME IPO and Mainboard IPO mandates
  • Coordinate with SEBI, Stock Exchanges (NSE/BSE), Merchant Bankers, Legal Advisors, Registrars, and Auditors throughout the transaction lifecycle
  • Oversee the preparation, review, and filing of DRHP, RHP, Prospectus, and all offer documents
  • Guide issuers on IPO structuring, valuation positioning, pricing strategy, and regulatory compliance
  • Manage listing readiness assessments and ensure fulfilment of exchange compliance requirements

  • Transaction Management
  • Drive the IPO timeline, due diligence process, and end-to-end documentation workflow
  • Work closely with promoters, CFOs, and internal teams to ensure seamless execution and timely milestone delivery
  • Coordinate with all transaction intermediaries including Merchant Bankers, Legal Counsels, Registrar & Transfer Agents, PR agencies, and Market Makers (for SME IPOs)

  • Capital Markets Advisory
  • Advise companies on optimal capital raising strategies across instruments including SME IPO, Mainboard IPO, Rights Issues, Preferential Allotments, Qualified Institutional Placements (QIP), and Private Placements
  • Evaluate IPO readiness of companies covering corporate governance, financial reporting standards, and compliance frameworks
  • Provide strategic guidance on corporate restructuring and pre-IPO preparation to ensure a successful listing

  • Investor Engagement & Positioning
  • Support management teams in preparing and delivering investor presentations and roadshows
  • Assist in positioning the company's equity story for institutional investors, HNIs, and anchor investors
  • Build and leverage relationships across the investor ecosystem to drive subscription and post-listing performance

  • Candidate Profile
  • Deep domain expertise in Indian capital markets with direct IPO transaction execution experience
  • Proven track record of managing or advising on multiple SME IPO and/or Mainboard IPO transactions
  • Strong understanding of SEBI ICDR Regulations and the end-to-end IPO documentation process
  • Experience interacting directly with SEBI, NSE, BSE, and other regulatory authorities
  • Strong network across capital market intermediaries, institutional investors, and legal advisors
  • Strategic thinker who can operate at both a hands-on execution level and a senior advisory capacity
  • Excellent communication and stakeholder management skills to interface with promoters, investors, and regulators
  • Comfortable working in a flexible engagement model - full-time, advisory, or transaction-based

  • Technical Skills (Mandatory)
  • In-depth working knowledge of SEBI ICDR Regulations, LODR Regulations, and Companies Act provisions relevant to IPOs
  • Hands-on experience with DRHP/RHP drafting, review, and filing processes with SEBI and Stock Exchanges
  • Strong understanding of IPO valuation methodologies, pricing mechanisms, and book-building processes
  • Proficiency in financial modelling, due diligence frameworks, and transaction documentation
  • Familiarity with capital market intermediary coordination - Merchant Bankers, RTAs, Legal Counsels, and CA / CS / MBA (Finance) / CFA or equivalent professional qualification - Preferred
  • 10-15 years of experience in Indian capital markets transactions with direct IPO execution involvement (Mandatory)
  • Experience working with SEBI-registered Merchant Banking firms, Capital Markets Advisory firms, or Investment Banks (Mandatory)
  • Professionals currently or previously associated with Merchant Banking Firms, Boutique Investment Banks, IPO Advisory Firms, or Capital Markets Consulting Firms are strongly encouraged to apply
